Board of Directors

Since the Foundation is registered as a public entity, the majority of directors must be at arm’s-length from CGOV Asset Management. Thus an independent board has been created. Currently two CGOV partners are also on the board of the Foundation. The directors are as follows:

Directors

George L. Ploder
Chair, The CGOV Foundation

Mr. Ploder is currently involved in the business community as a Director, and an investor. He is also involved with a number of community-related organizations.

Having obtained his CA in 1966, Mr. Ploder performed auditing, tax and consulting to clients with KPMG from 1961 to 1967. From 1966 to 1999 he held management positions in a number of corporations, latterly as President and CEO of Bracknell Corporation (1987-1999). Prior to Bracknell, he held senior financial management positions with Cavendish Investment Limited and Jannock Corporation.

Mr. Ploder has served as a Director of a number of public and private corporations including Patheon Inc., Bennett Environmental, and Bracknell Corporation.

Sheila Norman, CFA
President, The CGOV Foundation

Sheila joined CGOV Asset Management in 2006 and is responsible for managing portfolios for private and institutional clients. She is also a member of the CGOV Asset Management Board and Investment Committee.

Sheila has over 17 years experience in the investment industry, which includes seven years at McLean Budden Ltd. as Vice President and Portfolio Manager. Sheila earned her undergraduate degree from Queen's University in 1991 and holds the CFA (Chartered Financial Analyst) designation from the CFA Institute, and the Professional Financial Planner designation from the Canadian Securities Institute. She is a member of the Institute of Corporate Directors with the Rotman School of Management at the University of Toronto, and has completed the Not-for-Profit Governance Essentials Program.

In addition to her volunteer work with The CGOV Foundation, Sheila is a member of the investment committee for the Toronto Atmospheric Fund, and legacy giving committee member for Mount Sinai Hospital Foundation of Toronto

M. James Green
Portfolio Manager, CGOV Asset Management

Jim graduated from York University and holds the CIM (Canadian Investment Manager) and PFP (Professional Financial Planner) designations from the Canadian Securities Institute. He is a member of the CFA Institute and the Toronto CFA Society. Jim has over 35 years of investment industry experience and, for ten years, was a partner at TAL Private Management Ltd. having worked as Vice-President and Portfolio Manager. Jim joined CGOV in 2002, and recently completed a 6 year term as a Director and then Treasurer, Vice-Chair of Muscular Dystrophy Canada (MDC). He was also a member of the campaign cabinet for Neuromuscular Research, a joint project of ALS and MDC. Jim served as a Director and member of the Finance Committee of the Family Service Association of Toronto.

John Moore
John attained a Bachelor of Commerce degree from UBC in 1959. He retired in 2001 from Sceptre Investment Counsel after 42 years in the investment business. In 2003 John founded RetireWell, a retirement mentoring business that helps people transition from a life of work to a productive and happy life after work. He is active in the community as a director and mentor of Prime Mentors of Canada. He also serves on the board of the G. H. Wood Foundation.

David W. Smith
Partner, Davies, Ward, Phillips & Vineberg LLP

David received his B.A. in 1963 from the University of Manitoba and his LL.B. in 1966 from the University of Toronto (Gold Medalist). He was appointed Queen's Counsel in 1984. He is a partner and senior member of the tax group with extensive experience in income tax matters, including international taxation, cross-border and domestic mergers and acquisitions, corporate reorganizations and restructurings, corporate finance, trusts and tax dispute resolution.

David has written, instructed and lectured on taxation and estate planning for various organizations, including the Canadian Tax Foundation, the Canadian Bar Association, the Law Society of Upper Canada, the American Bar Association, the International Bar Association and the International Fiscal Association. He was formerly Co-Chairman of the Joint Committee on Taxation of the Canadian Bar Association and the Canadian Institute of Chartered Accountants and Chairman of the National Taxation Section of the Canadian Bar Association. David is a former Chair of the Board of Governors of the Canadian Tax Foundation. He is currently the Chair of the Toronto General & Western Hospital Foundation.

David A. Williams
Chairman & President, Roxborough Holdings Limited

David Williams has served as President of his investment company, Roxborough Holdings Limited, in Toronto, since 1994. From 1969 to 1993, he held senior management positions with Beutel Goodman Company, one of Canada's largest institutional money managers. He also has extensive Board experience, serving as Chairman of Bennett Environmental and Roador Inc. He is a Director of Newport Partners Income Fund, Western Copper, Calvalley Petroleum, Atlantis Systems Inc. and Resin Systems Inc.

Mr. Williams holds a Bachelors degree in Business from Bishop's University, Lennoxville, Quebec, and an MBA from Queen's University, Kingston, Ontario.

Mr. Williams is a Director of Bishop's University Foundation and is involved with a number of community-related projects.

Keith E. Walter
Managing Consultant, Watson Wyatt Worldwide

Keith is a graduate of University of Toronto (B.Sc. 1982) and Cass Business School (M.B.A. 1989). He is also an actuary, receiving his designation as a Fellow of the Canadian Institute of Actuaries in 1985. He is currently the Managing Consultant for the Central Canada offices of Watson Wyatt, one of the world's leading HR, Benefits and Investment Consulting firms.

Keith has had a successful career in financial services, including more than 25 years in a variety of roles with Manulife Financial. This included international appointments in the U.K., Hong Kong, and Japan where he was the CFO of a local life insurance company and an active participant in the Canada Chamber of Commerce in Japan. Since returning to Canada, he has served as a Director of the Investment Counsel Association of Canada and volunteers his time with a number of charitable organizations.
